• Mergers, Acquisitions and Loan Closings

Whether you have decided to start a new business, acquire an existing one or undertake a real estate development project, I like to remind my clients that they should think of their attorney as much more than a “Closing Attorney.”

The vast majority of business transactions taking place every day do not require the services of an attorney. If they did, the business world would quickly grind to a halt.

On the other hand, in many situations, good legal advice can provide insurance against costly misunderstandings or mis-steps.

Like most visitors to this website, you are probably interested in learning a bit about me before making a call or scheduling an appointment.

Much of my personal and professional life has been related in one way or another to improving my community and the larger society. In the early years, this interest took the form of teaching, urban planning and electoral politics.

When I first became an attorney, I worked in economic development, encouraging manufacturing and service businesses to start, expand and create jobs and with developers and government agencies to foster development of affordable housing for the disadvantaged and elderly populations and retail shopping opportunities in under-served areas.

In the last 20 years or so, my work has been primarily in commercial real estate and business transactions, including purchase, sale, finance and development of real estate projects, large and small, ranging from multifamily apartment complexes to single-family subdivisions to office and retail projects. Often these activities led to my assisting clients in forming their business entities and in purchasing on-going businesses.

In response to recent changes in the economy, a growing part of my practice has been devoted to the increased activity among investors and developers who are beginning to take advantage of the availability of investment opportunities, such as the acquisition of distressed properties (either pre-foreclosure and post-foreclosure), the purchase of notes and mortgages or the restructuring of debts with existing lenders.

Over the years I have had the privilege of representing individuals, businesses, developers, lenders, nonprofit corporations and government agencies in various capacities, including attorney, board member, general counsel, corporate secretary, advisor, consultant and advocate.

I have also had numerous occasions to interact with elected and appointed government officials, corporate officers and directors, commissions, business people, academics and community organizations. According to the Martindale-Hubbell Peer Rating, my professional colleagues have awarded me an AV rating (highest ability and integrity).
